Terms and Conditions of Use

You must be at least 18 years old to create an account or use Rosie AI. By using the Service, you represent that you are at least 18 and legally able to enter into these Terms.

Rosie AI is a web-based application designed to support caregiving coordination. It allows client administrators to create tasks, schedules, updates, and related care workflows for clients, and allows caregivers to view and update assigned tasks for those clients.

Rosie AI may also provide alerts, notifications, status tracking, summaries, and AI-supported trend analysis related to task completion and platform activity.

Rosie AI is a software platform only. It does not itself provide caregiving services, medical services, nursing services, home care agency services, emergency services, supervision, transportation, or legal advice.

Rosie AI is not a medical provider, healthcare provider, nurse, home care agency, emergency response provider, or law firm.

Rosie AI does not provide:

• medical advice
• diagnosis or treatment
• nursing advice
• legal advice
• emergency monitoring or emergency response

You should not rely on Rosie AI, including any alert, message, summary, notification, or AI-generated output, for emergencies or urgent situations.

In an emergency, call 911 or your local emergency services immediately.

Use of Rosie AI does not create a doctor-patient, nurse-patient, caregiver employment, fiduciary, or other professional relationship between Rosie AI and any user, client, caregiver, or other person.

Rosie AI may include different user roles, including:

• Client Admins: users who create and manage client-specific tasks, schedules, and caregiver access
• Caregivers: users who are authorized to access and update assigned tasks, schedules, and related information for a client

Client admins are solely responsible for:

• selecting, vetting, supervising, and retaining caregivers
• determining whether a caregiver is appropriate, qualified, safe, and lawful for a client
• determining whether tasks, schedules, instructions, and arrangements are appropriate, lawful, and safe for the client's needs
• obtaining all necessary permissions, authorizations, and consents before entering, sharing, or monitoring information about a client
• managing caregiver permissions and removing caregiver access when appropriate

Rosie AI does not employ, recommend, screen, credential, supervise, endorse, or guarantee any caregiver.

Rosie AI does not guarantee that any task will be completed correctly, safely, on time, or at all.

To use certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for:

• maintaining the confidentiality of your login credentials
• all activity under your account
• promptly notifying us of any unauthorized use of your account or suspected security breach

We may suspend or terminate accounts that contain inaccurate information, violate these Terms, create security risks, or are otherwise used improperly.

You are solely responsible for the accuracy, completeness, legality, and appropriateness of all information you enter into Rosie AI, including:

• task lists
• schedules
• care instructions
• client information
• caregiver information
• comments
• status updates
• phone numbers
• email addresses for alerts and notifications
• messages and other submitted content

You are also responsible for obtaining all necessary rights, permissions, and consents before entering, sharing, uploading, monitoring, or otherwise using personal, care-related, or health-related information in the Service, including where the client is a minor or an adult needing care.

Rosie AI may allow users to submit or store content such as comments, messages, status updates, task completion information, schedules, and care instructions ("User Content").

You retain ownership of your User Content. However, by submitting User Content through the Service, you grant Rosie AI a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, analyze, display, and otherwise use that content as reasonably necessary to:

• operate and maintain the Service
• provide support
• send alerts and notifications
• generate reports and summaries
• improve the Service and AI-supported features
• enforce these Terms
• comply with applicable law

You represent that you have all rights necessary to submit and use your User Content.

Rosie AI may offer AI-supported summaries, alerts, trend analysis, and related outputs.

You acknowledge and agree that AI-generated outputs may be inaccurate, incomplete, misleading, delayed, or unavailable. They are provided for informational and workflow-support purposes only.

AI outputs must not be relied on as the sole basis for care decisions, medical decisions, legal decisions, staffing decisions, safety decisions, or emergency decisions.

Rosie AI may send alerts, reminders, messages, and notifications by email, SMS text message, in-app messaging, or other means.

You acknowledge and agree that:

• delivery is not guaranteed
• messages may be delayed, disrupted, filtered, misdirected, or not delivered at all
• delivery may depend on third-party providers, internet connectivity, telecommunications networks, device settings, and user behavior

Rosie AI is not responsible for any failure, delay, or error in the sending, receipt, or display of any alert or notification.

You are responsible for ensuring that all contact information used for notifications is accurate and authorized.

You agree not to use Rosie AI in any way that:

• violates any law or regulation
• infringes another person's rights
• is fraudulent, deceptive, abusive, harassing, or harmful
• involves false or misleading information
• attempts unauthorized access to the Service or other accounts
• interferes with the operation or security of the Service
• reverse engineers, decompiles, or attempts to extract source code except where permitted by law
• misuses alerts, messages, or communications features
• introduces viruses, malware, or other harmful code

We may investigate suspected violations and take appropriate action, including suspension or termination.

Rosie AI uses a client-based subscription model.

• A subscription is required for each client set up in the platform.
• Only client admins are paying subscribers.
• Caregivers do not pay separate subscription fees for access granted under a client's subscription.

A newly created client may be eligible for a 30-day trial period with full functionality.

Unless canceled before the start of the 31st day, the subscription for that client will automatically begin at the end of the trial period.

Subscriptions automatically renew until canceled.

By subscribing, you authorize recurring charges for the applicable subscription fees unless and until you cancel.

Payments are processed through an external third-party payment provider or interface. Rosie AI is not responsible for the acts, omissions, policies, or systems of third-party payment processors.

If you cancel a subscription, the cancellation will stop future renewal charges, but you will continue to have access to paid subscription services for the remainder of the then-current paid subscription period.

All fees are non-refundable and non-prorated, except where required by applicable law.

If a client-specific subscription is canceled and the paid period ends:

• caregiver access to that client ends
• the client admin may retain access to that client's profile in an inactive status
• an inactive client profile does not by itself trigger a subscription requirement unless reactivated or otherwise stated at the time of renewed use

We reserve the right to define, limit, modify, archive, or remove features available for inactive client records.

We may suspend, restrict, or terminate your access to Rosie AI, in whole or in part, at any time, with or without notice, including if:

• you violate these Terms
• payment is overdue or unsuccessful
• we suspect fraud, misuse, unauthorized activity, or a security issue
• your use creates legal, regulatory, operational, or reputational risk
• we are required to do so by law

Termination or suspension does not relieve you of obligations accrued before termination.

Rosie AI, including its software, design, functionality, text, graphics, logos, branding, interface, content organization, and AI-supported features, is owned by NYRE Enterprises LLC or its licensors and is protected by intellectual property laws.

Except for the limited right to use the Service in accordance with these Terms, no rights are transferred to you.

You may not copy, modify, distribute, sell, lease, sublicense, publicly display, or create derivative works from the Service except as expressly authorized by us in writing.

Rosie AI may use aggregated, anonymized, and de-identified data derived from use of the Service, including task-completion trends, performance patterns, and platform usage information, for analytics, research, service improvement, product development, and AI feature development, provided that such data is not used to identify a specific person.

Your use of Rosie AI is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Rosie AI may be used in countries outside the United States. If you access or use the Service outside the United States, you are solely responsible for complying with local laws applicable to your use.

These Terms are written in English, and the English-language version controls.

To the fullest extent permitted by law, Rosie AI is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim all warranties, including implied warranties of:

• merchantability
• fitness for a particular purpose
• title
• non-infringement
• accuracy
• reliability
• uninterrupted or error-free operation

We do not warrant that:

• tasks will be completed
• caregivers will perform as expected
• AI outputs will be accurate or timely
• alerts or notifications will be delivered
• the Service will meet your needs or legal obligations

To the fullest extent permitted by law, NYRE Enterprises LLC and its officers, members, managers, employees, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses arising out of or relating to the Service or these Terms.

To the fullest extent permitted by law, the total aggregate liability of NYRE Enterprises LLC arising out of or relating to the Service or these Terms will not exceed the greater of:

• the amount you paid to us for the applicable client subscription during the 12 months before the event giving rise to the claim, or
• US $100

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless NYRE Enterprises LLC and its officers, members, managers, employees, agents, affiliates, licensors, and service providers from and against any claims, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• your use of the Service
• your User Content
• your violation of these Terms
• your violation of law or third-party rights
• your relationship with any caregiver, client, or other user
• your failure to obtain required permissions, authorizations, or consents
• your care-related instructions, schedules, tasks, or decisions

These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in the State of New York, and you consent to the jurisdiction and venue of those courts.

We may modify, suspend, discontinue, or update the Service, or any part of it, including features, functionality, AI tools, alerts, pricing, and availability, at any time.

We may also update these Terms from time to time. When we do, we may revise the Effective Date above and provide notice as required by law or as otherwise appropriate.

Your continued use of the Service after updated Terms become effective constitutes your acceptance of the updated Terms.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision.

These Terms, together with the Privacy Policy and any additional terms properly presented to you, constitute the entire agreement between you and NYRE Enterprises LLC regarding the Service.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or operation of law.
